Terms of Service

Effective date: July 27, 2026

These Terms of Service (“Terms”) are a binding agreement between you and 79X Solutions, LLC (“79X”, “we”, “us”, or “our”), a Florida limited liability company. They govern your access to and use of 79x.solutions (the “site”) and any private project areas, accounts, and related features we make available through it (together, the “services”). Please read them carefully.

Acceptance of these Terms

We provide access to your account and to private project areas through a login. When you check the box indicating that you accept these Terms and then log in, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not check the acceptance box, do not log in, and do not use the services.

You must check the acceptance box each time it is presented in order to log in, and checking it is your affirmative agreement to the version of these Terms then in effect and linked next to the box. If you are using the services on behalf of an organization, you represent that you are authorized to accept these Terms on that organization’s behalf, and in that case “you” refers to both you and that organization.

Accounts and eligibility

Accounts on the services are not open to public registration. We create accounts and grant access to specific project areas at our discretion, typically for clients, collaborators, and invited participants who are working with us on a particular project. You must be at least 18 years old to hold an account or to use the services, and you may use the services only if you are able to form a binding contract with us and only in compliance with these Terms and applicable law.

You are responsible for the account we provide to you, including for keeping your login credentials confidential and for all activity that occurs under your account. Your account is personal to you and may not be shared with or transferred to anyone else without our written permission. You agree to notify us promptly at info@79x.solutions if you suspect any unauthorized use of your account or any other security concern. We are not liable for any loss arising from unauthorized use of your account.

The project areas

The services may give you access to private, gated project areas where we share information and collaborate with you on a specific project. Access is provided by invitation, is limited to the projects for which we grant you access, and is for your own internal and project-related use only. We may add, change, limit, suspend, or remove any project area, feature, or content at any time, and we may change who has access to a given project area.

Monitoring and records

We keep records of access to and activity within the private project areas, including which content is accessed, when, and by whom, together with related technical information such as your internet protocol address and device. We keep these records to operate and secure the services, to enforce these Terms, and as evidence in the event of misuse or a dispute. By using the project areas, you consent to this monitoring and record-keeping, which we handle as described in our Privacy Policy.

Communications

The services are used together with email. By using the services, you agree that we may send you account-related and project-related messages, such as access notifications, security notices, confirmations, and administrative messages. These are part of the services, and you cannot opt out of them while you use the services. Separately, we may send you news, updates, or promotional messages, which are not required to use the services and which you can opt out of at any time, as described in our Privacy Policy.

Acceptable use

You agree not to, and not to allow anyone else to:

  • use the services in violation of any applicable law or regulation, or for any unlawful, harmful, or fraudulent purpose;
  • access, or try to access, any account, project area, data, or system that we have not granted you access to;
  • interfere with, disrupt, probe, or attempt to circumvent the security or integrity of the services;
  • upload or transmit any material that infringes another party’s rights, that contains malicious code, or that is defamatory, harassing, or otherwise objectionable;
  • copy, scrape, harvest, reverse engineer, or create derivative works from the services or their content, except as we expressly permit in writing; or
  • use the services to build or support a competing product or service.

We may investigate and take appropriate action, including removing content and suspending or terminating access, for any violation of these Terms.

Your content

You may be able to upload, submit, or share materials through the services or through our forms (“your content”). As between you and us, you keep whatever ownership rights you already hold in your content. You are solely responsible for your content and for having the rights necessary to share it with us.

You grant us a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, and use your content as reasonably necessary to operate the services, to provide and improve them, to communicate with you, and to carry out the project for which you shared it. We may remove or disable any of your content at our discretion. We handle personal information within your content as described in our Privacy Policy.

Our intellectual property

The services, including the site and its design, text, graphics, software, and other content that we provide, but excluding your content, are owned by 79X or our licensors and are protected by intellectual-property and other laws. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the services for the purposes for which we granted you access. We reserve all rights not expressly granted to you. You may not use our name, logo, or brand features without our prior written permission.

Cancelling or deleting your account

You may stop using the services at any time. If your account includes the ability to delete it, you may do so, and when you delete your account we will remove your profile information from active use as described in our Privacy Policy.

Deleting your account does not delete records that we are entitled to keep. In particular, information you previously submitted to us through our forms, records of your access to the project areas, records of your acceptance of these Terms, and other records of our dealings with you are our business records, and we may retain them after your account is deleted for the purposes described in our Privacy Policy, including to keep accurate business records and to meet our legal, accounting, and record-keeping obligations. We may also retain information as needed to resolve disputes, enforce these Terms, and protect our rights.

Suspension and termination

We may suspend, restrict, or terminate your access to the services, in whole or in part, at any time and for any reason, including if we believe you have violated these Terms, if we are required to do so by law, or if a project has ended. We may do this with or without notice.

On termination, your right to access the services stops immediately. The sections of these Terms that by their nature should survive termination will survive, including the sections on monitoring and records, your content, our intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT WILL BE ACCURATE OR RELIABLE. YOU USE THE SERVICES AT YOUR OWN RISK.

The site, the project areas, and any information, documents, and materials we provide through them are made available for general and project-related informational purposes. We work in good faith to keep our content and services accurate and current, but we do not warrant that they are complete, accurate, current, or error-free. To the maximum extent permitted by law, we are not liable for any error, omission, inaccuracy, or outdated information in the site, the project areas, or our communications, or for any decision you make or action you take in reliance on them; you are responsible for evaluating our content before relying on it.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 79X AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Security incidents and events beyond our control. To the maximum extent permitted by law, we are not responsible or liable for any loss, damage, or harm arising from events beyond our reasonable control, including cyber-attacks, hacking, malware, ransomware, denial-of-service attacks, phishing, unauthorized access to or use of the services or your account, data breaches, or the acts of third parties, or from any failure, interruption, delay, or security incident affecting the services or any third-party service, network, or infrastructure we rely on. Nothing in these Terms limits any liability that cannot be limited under applicable law, such as liability for our own gross negligence or willful misconduct where the law does not permit its exclusion.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US, IF ANY, FOR ACCESS TO THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY UNITED STATES DOLLARS (US$50).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless 79X and its members, managers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the services, your content, or your violation of these Terms, of any law, or of the rights of any third party.

Dispute resolution

Please read this section carefully. It affects how disputes between you and us are resolved.

Informal resolution first. Before starting any formal proceeding, you agree to contact us at info@79x.solutions and give us at least thirty days to try to resolve the matter informally.

Court and jury-trial waiver. If we cannot resolve a dispute informally, it will be brought only in the state or federal courts located in Miami-Dade County, Florida, as described in the Governing law and venue section, and you consent to the personal jurisdiction of those courts. To the maximum extent permitted by law, you and we each waive any right to a trial by jury in any such dispute.

Governing law and venue

These Terms, and any dispute arising out of or relating to them or the services, are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. You and we agree to the exclusive jurisdiction and venue of the state and federal courts located in Miami-Dade County, Florida, and you consent to personal jurisdiction there.

Changes to these Terms

We may update these Terms from time to time. When we do, we will post the updated Terms and revise the effective date above, and the updated Terms will be presented for your acceptance the next time you log in. Any change takes effect when we post it, and by checking the acceptance box and logging in after a change, you agree to the updated Terms. If you do not agree to the updated Terms, do not log in or continue to use the services.

Relationship to other agreements

If you have entered into a separate written agreement with us for consulting or other services, such as an engagement letter, a services agreement, or a statement of work, that separate agreement governs the services it covers, and if there is any conflict between it and these Terms with respect to those services, the separate agreement controls. These Terms otherwise govern your access to and use of the site and the project areas.

General

These Terms, together with our Privacy Policy and any separate written agreement referenced above, are the entire agreement between you and us regarding the services, and they supersede any prior understandings on that subject. If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign or transfer these Terms without our prior written consent, and any attempt to do so is void; we may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets. We are not responsible for any delay or failure to perform that is caused by events beyond our reasonable control. We may give you notices through the services or by email, and you may contact us as described below.
